Terms of Service for AQ Invoice

Effective Date: September 9, 2026

AQ Zentrix Ltd ("AQ Zentrix", "we," "us," "our"), a company registered in England & Wales (company number 16654132), registered office 10 Woodlands Grove, Leeds, LS16 8GH, United Kingdom, operates the AQ Invoice mobile application (the "App"). These Terms of Service ("Terms") govern your use of the App. By downloading, accessing, or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.

1. Who Can Use AQ Invoice

You must be at least 18 years old, or the age of majority in your location, to use the App. If you use the App on behalf of a business, you confirm that you are authorised to accept these Terms for that business.

2. Your Account

You can use the App without an account in a local-only mode. An account (email and a securely hashed password) is required for cloud sync and backup. You are responsible for keeping your login details secure and for all activity under your account. Tell us at info@aqzentrix.com if you believe your account has been compromised.

3. The Service

AQ Invoice helps you create and send invoices and estimates, track payments, manage clients and items, and generate PDF documents. Some features require an internet connection or a paid subscription. We may add, change, remove, or set limits on features at any time, and we may suspend the App for maintenance.

4. Your Content and Data

You own the invoices, estimates, client details, business profiles, logos, and other content you create in the App ("Your Content"). You give us a limited licence to store, copy, transmit, and process Your Content only to operate the App for you — for example to sync it between your devices, generate PDFs, and back up your account. This licence ends when you delete the content or your account, apart from routine backup copies kept for a limited period.

You are responsible for Your Content, for having the right to use it, and for making sure the invoices and estimates you send meet the tax, invoicing, and consumer-protection rules that apply to you.

5. Subscriptions and Payments

AQ Invoice offers an optional paid subscription that unlocks additional features and higher limits. Subscriptions are sold and billed through Google Play Billing (or, in future, another app store you download the App from), under that store's terms.

* Payment is charged to your app store account when you confirm the purchase.

* Subscriptions renew automatically for the same period at the then-current price unless you cancel at least 24 hours before the period ends.

* You manage or cancel your subscription in your app store account settings. Uninstalling the App does not cancel a subscription.

* Except where the law requires otherwise, subscription fees are non-refundable, and refunds are handled solely by the app store under its own policy. We do not process or control these payments and never see or store your payment card details.

6. Payments You Collect From Your Clients

If you connect a Stripe account to accept card payments on your invoices, those payments are processed by Stripe under Stripe's agreements with you. We are not a party to transactions between you and your clients and are not responsible for chargebacks, disputes, refunds, taxes, or payout timing. Stripe's fees are separate from any fee we charge.

7. Acceptable Use

You agree not to:

* use the App to create false, fraudulent, misleading, or unlawful invoices, estimates, or records;

* use the App for any illegal purpose, including money laundering or tax evasion;

* upload malware or content that infringes someone else's rights;

* attempt to disrupt, probe, or gain unauthorised access to the App, our servers, or other users' data, or bypass usage limits or security measures;

* reverse engineer or attempt to extract the App's source code, except where the law allows it;

* resell or commercially exploit the App except as we expressly permit.

We may suspend or terminate your access for breaking these rules.

8. Third-Party Services

The App relies on third parties, including Google (Play Billing, Firebase Analytics and Crashlytics), Supabase (authentication and cloud storage), and Stripe. Your use of those services through the App may be subject to their terms, and we are not responsible for them.

9. Intellectual Property

The App, including its software, design, templates, and the "AQ Invoice" and "AQ Zentrix" names and logos, belongs to us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App on devices you own or control for your own invoicing purposes. Documents you produce with the templates are yours to use; the template designs remain ours. All rights not expressly granted are reserved.

If you send us feedback or suggestions, you allow us to use them without restriction or any obligation to you.

10. Disclaimers

The App is not legal, tax, accounting, or financial advice. Invoice and estimate formats, tax fields, and calculations are tools only, and you are responsible for confirming that the documents you produce meet the requirements that apply to you.

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure, or that data will never be lost. Keep your own copies of important records.

11. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill. Our total liability for all claims relating to the App will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 50. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited under the laws of England and Wales.

12. Indemnification

You agree to cover our reasonable losses and expenses (including legal fees) arising from Your Content, your use of the App, your breach of these Terms, or your breach of any law or third-party right.

13. Termination

You may stop using the App and delete your account at any time from within the App. We may suspend or end your access if you breach these Terms, if the law requires it, or if we discontinue the App. Sections that by their nature should continue after termination (including Sections 4, 9, 10, 11, 12, and 16) will survive.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will give reasonable notice in the App or by email. Changes take effect when posted with a revised effective date. Continuing to use the App after that means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts of England and Wales for any dispute. Nothing here removes consumer-protection rights you have under the mandatory laws of your country of residence.

Additional Terms for Apple App Store

If you download the App from the Apple App Store, the following also applies: these Terms are between you and us only, not Apple; Apple has no obligation to provide support for the App; if the App fails to meet any applicable warranty you may notify Apple and Apple will refund the purchase price (if any), and Apple has no other warranty obligation; Apple is not responsible for any claims relating to the App, including product-liability, legal-compliance, or intellectual-property claims; you confirm you are not in a US-embargoed country or on any US Government restricted-parties list; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.
